Terms of Use

1. Acceptance and scope

By accessing or using FluxoKit (the website at fluxokit.ai, the FluxoKit workspace, and related tools, together the service), you agree to these Terms. If you do not agree, do not use the service.

These Terms, the Privacy Policy, and the Refund and Cancellation Policy together form the agreement between you and FluxoKit for the English-market service. Where a feature, promotion, or plan has additional published terms, those terms apply to that feature in addition to these Terms.

Paid checkout is live. FluxoKit accepts paid subscriptions billed in U.S. dollars through Stripe, and these policies govern that paid checkout.

If you use the service on behalf of a company or another organization, you represent that you have authority to bind that organization, and references to you include that organization.

2. Operator and billing entity

FluxoKit is operated by FluxoKit, LLC, and paid checkout is processed through FluxoKit, LLC using Stripe.

Paid checkout identifies the operating entity, the plan, and the governing terms at the time of purchase.

3. Eligibility and registration

You must be at least 18 years old and able to form a binding contract to purchase a paid, auto-renewing subscription. The service is not directed to children, and you must be at least 13 years old to create an account. FluxoKit does not knowingly collect personal information from children under 13 without verifiable parental consent; if you believe a child under 13 has provided personal information, contact us and we will delete it.

You must provide accurate account information and keep it current. You are responsible for all activity under your account and for keeping your credentials confidential. Contact support@fluxokit.ai promptly if you believe your account has been accessed without authorization.

Accounts are personal to the registrant or organization. You may not share one account among unrelated people, resell access, or use another person's account without permission.

4. The service

FluxoKit is a visual AI workspace for workflows that use image, video, text, and creative tools from multiple providers. Provider availability, model parameters, limits, pricing inputs, and output behavior can change as underlying services change.

We may add, change, suspend, or retire models, tools, limits, and features at any time. Where a change materially reduces what a paid plan includes during a paid period, we provide notice or an equivalent alternative where required.

5. Credits, plans, and fair use

Generations may consume credits based on the selected model, settings, and provider cost profile. Plans include a monthly credit allocation, a rollover window, a parallel-generation limit, and optional top-up packs as shown at checkout and in your dashboard.

Credits are a usage measurement inside FluxoKit. They are not cash, stored value, gift cards, banked funds, or transferable property.

Automated or scripted use that circumvents credit accounting, rate limits, or provider safety controls is prohibited and may result in suspension without refund of consumed credits.

6. Your content

You keep ownership of the prompts, images, videos, audio, references, and other inputs you submit. You grant FluxoKit and the providers it uses a limited, non-exclusive license to host, process, transmit, display, and store your inputs and the resulting outputs only as needed to operate the service, provide support, and comply with law.

You are responsible for prompts, uploads, references, and other content you submit. Do not submit illegal content, private material you are not allowed to use, or content that violates provider rules.

You represent that you have the rights needed to submit your inputs, including for any people, brands, or works they depict, and that your inputs and your use of outputs do not violate law, third-party rights, or the applicable provider policy.

7. AI outputs, ownership, and training

As between you and FluxoKit, and to the extent permitted by applicable law and the relevant model provider's terms, you own the outputs you generate and may use them for personal and commercial purposes, consistent with the commercial-use rights described in your plan. You are responsible for ensuring your inputs and your use of outputs do not infringe third-party rights or violate provider rules.

FluxoKit is a multi-provider workspace: your inputs and outputs are processed by the third-party AI model providers you select, and those providers handle that content under their own terms, which may include using submitted content to operate or improve their models. FluxoKit does not use your private inputs or outputs to train its own foundation models. Because AI outputs may resemble outputs generated for others and may not be protectable under intellectual-property law, FluxoKit does not warrant that any output is unique or eligible for IP protection.

8. FluxoKit intellectual property and feedback

The service, including its software, interface, workflows, documentation, brand, and the content FluxoKit provides (excluding your inputs, your outputs, and third-party model outputs), is owned by FluxoKit or its licensors and protected by intellectual-property law. Subject to these Terms, FluxoKit grants you a limited, revocable, non-exclusive, non-transferable license to use the service for your internal business or personal purposes.

You may not copy, modify, reverse engineer, scrape, frame, or create derivative works of the service, remove proprietary notices, or use FluxoKit's name, logos, or marks without written permission, except where applicable law allows.

If you send feedback or suggestions, you grant FluxoKit a perpetual, irrevocable, royalty-free license to use them without any obligation to you.

9. Acceptable use

You agree not to use the service to create or distribute unlawful content, including child sexual abuse material, non-consensual intimate imagery, content that impersonates a real person in order to deceive, infringing content, malware, or content that violates a third party's rights or a model provider's usage policy. You are responsible for your inputs and outputs. FluxoKit may suspend or terminate accounts that violate this policy or applicable provider rules.

In particular, you agree not to:

• Generate or distribute content that is illegal, sexualizes minors, depicts a real person intimately without consent, or harasses, threatens, or defames a person.
• Impersonate a real person, organization, or public figure in a way that could deceive, or produce deceptive synthetic media of real people without their consent.
• Infringe copyright, trademark, publicity, or privacy rights, including by uploading material you are not licensed to use.
• Probe, scan, or overload the service, bypass access or credit controls, share credentials, or use automated agents to extract data from the service.
• Use the service or its outputs to build competing models or training datasets, or to violate a model provider's usage policy.
• Distribute malware, spam, or fraud, or use outputs for unlawful discrimination, surveillance, or harm.

10. Monitoring, moderation, and enforcement

FluxoKit and its model providers may apply automated safety filters and, where permitted, review content and usage to enforce these Terms, protect users, and comply with law. FluxoKit has no obligation to monitor all content.

FluxoKit may refuse a generation, remove content, limit features, or suspend or terminate an account that violates these Terms, a provider policy, or applicable law, with notice where practical. Credits consumed by a completed generation are not refunded because the output was moderated for a violation.

11. Third-party providers and services

FluxoKit integrates third-party AI, hosting, database, storage, analytics, payment, and support providers. Their terms, safety policies, outages, rate limits, or model changes may affect service behavior.

You may not use FluxoKit to violate law, third-party rights, provider policies, platform safety rules, or payment network rules.

12. Stripe billing

Subscriptions are billed in U.S. dollars through Stripe. Checkout shows the plan, renewal cadence, currency, price, credit allocation, cancellation method, and refund policy before payment is collected. Any applicable taxes are added by Stripe at checkout where FluxoKit is required to collect them.

Subscriptions renew automatically unless cancelled before the next billing date. Renewal terms, billing period, and price are presented clearly before checkout completion.

Stripe provides hosted Checkout, invoices, receipts, payment method management, tax calculation, fraud controls, and the Customer Portal. FluxoKit does not store full card numbers.

• Paid checkout is active and billed in U.S. dollars through Stripe.
• No subscription charge is created before express checkout consent.
• Stripe webhook events must be verified and reconciled before local entitlement or credit state is trusted.
• Payment creation, refunds, and subscription updates should use idempotency controls.

13. Subscriptions, renewal, and cancellation

Customers can cancel through the Stripe Customer Portal or another clear support path. Because online checkout is used, online cancellation is available without unnecessary delay or obstruction.

Cancellation normally stops future renewals and preserves access through the paid billing period unless the checkout or support confirmation states otherwise. Material price or subscription changes will be communicated before they take effect where required.

Prices are shown in U.S. dollars before any applicable tax. If the price of your plan changes, FluxoKit notifies you before the first renewal at which the new price applies, and you may cancel before that renewal.

14. Refunds and service credits

The refund policy is published separately and is incorporated into these Terms. Provider or system failures may restore FluxoKit credits without creating a cash refund.

Cash refunds, when approved, are expected to be processed through Stripe back to the original payment method unless another lawful method is required.

15. Privacy

The Privacy Policy explains how FluxoKit handles account, usage, generation, support, analytics, and billing-related data. By using FluxoKit, you acknowledge that data may be processed by service providers needed to operate the platform.

16. Copyright and DMCA

FluxoKit respects intellectual-property rights. If you believe content available through the service infringes your copyright, send a notice with the information required by the U.S. Digital Millennium Copyright Act (17 U.S.C. 512) to support@fluxokit.ai, including identification of the work, the material at issue, your contact details, a good-faith statement, and your signature. We respond to valid notices, may remove infringing material, and may terminate repeat infringers.

If you believe material you submitted was removed by mistake or misidentification, you may send a counter-notice with the information required by 17 U.S.C. 512(g) to the same address.

17. Term, suspension, and termination

These Terms apply from the moment you use the service until your account is closed. You can stop using the service or request account deletion at any time by contacting support. Cancelling a subscription does not by itself delete your account.

FluxoKit may suspend or terminate access for a material breach, legal risk, non-payment, prolonged inactivity, or where required by a provider or by law. On termination, your right to use the service ends and unused credits expire, except where the Refund and Cancellation Policy or applicable law provides otherwise. Sections that by their nature should survive termination, including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution, survive.

18. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless FluxoKit, its operating entity, and their officers, employees, and contractors from claims, damages, and reasonable expenses (including attorneys' fees) arising from your inputs, your outputs, your use of the service in violation of these Terms, or your violation of law or third-party rights. FluxoKit may assume the defense of a claim at its own expense, and you agree to cooperate.

19. Disclaimer of warranties

The service is provided as is and as available. To the fullest extent allowed by law, FluxoKit disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

FluxoKit does not warrant that the service will be uninterrupted or error-free, that any model or provider will remain available, or that outputs will be accurate, lawful, or fit for a particular purpose. Review outputs before relying on them.

20. Limitation of liability

To the fullest extent allowed by law, FluxoKit is not liable for indirect, incidental, special, consequential, or punitive damages from use of the service, including lost profits, lost data, or business interruption.

To the fullest extent allowed by law, total liability is limited to the amount paid to FluxoKit for the service in the previous 12 months. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

21. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or the service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except where the mandatory consumer-protection law of your home jurisdiction applies.

Before filing any claim, you and FluxoKit agree to first try to resolve the dispute informally by contacting the other party and allowing at least 30 days to reach a resolution. Subject to any mandatory venue your local law provides, the state and federal courts located in Delaware have jurisdiction over disputes that are not resolved informally.

22. Users outside the United States

FluxoKit is operated from the United States. If you use the service from elsewhere, you are responsible for complying with local law, and you consent to the processing of your information in the United States as described in the Privacy Policy. You may not use the service where it is prohibited, and you represent that you are not subject to U.S. sanctions or export restrictions that prohibit your use.

FluxoKit publishes a separate Brazilian Portuguese terms document for its Brazil market surface. These English Terms govern the English-market service.

23. General provisions

These Terms, together with the policies they reference, are the entire agreement between you and FluxoKit about the service and replace earlier agreements on the same subject. If a provision is found unenforceable, the rest remains in effect.

You may not assign these Terms without FluxoKit's consent; FluxoKit may assign them in connection with a merger, acquisition, or sale of assets. A failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control, except for payment obligations. Notices to you may be sent to your account email; notices to FluxoKit go to the contact details below.

24. Changes to these Terms

We may update these Terms from time to time. For material changes that affect your rights or the paid service, we provide notice by email or in the product before the change takes effect. Continued use of the service after a change becomes effective constitutes acceptance of the updated Terms.
